Site Use & Acceptable Use Policy

How you may use our websites and portals, including accounts, catalog access, prohibited activities, and enforcement.

This Site Use & Acceptable Use Policy ("Policy") governs access to and use of the websites, customer and business portals, product catalog, search, quote and RFQ tools, cart, wishlist, checkout, account features, and related online services operated by vCloud Choice Inc. ("vCloud Choice Inc.," "we," "us," or "our") (collectively, the "Site"). By accessing or using the Site, you agree to this Policy.

1. Scope and Related Documents

This Policy covers how you may use the Site. It does not replace commercial purchase terms. Purchases, quotes converted to orders, pricing, payment, delivery, returns, warranties, and related commercial obligations are governed by our Standard Terms of Sale at Standard Terms of Sale and other applicable commercial policies.

Personal information is handled under our Privacy Notice at Privacy Notice. Cookies and similar technologies are described in our Cookie Notice at Cookie Notice. Shipping, returns, warranties, and payment practices are described in the Shipping Policy at Shipping Policy, Return Policy at Return Policy, Warranty Policy at Warranty Policy, and Payment & Billing Terms at Payment & Billing Terms. Vendor or manufacturer license terms may also apply to particular products.

2. Eligibility and Accounts

The Site is intended for legitimate business purchasing, quoting, and related account activity in connection with vCloud Choice Inc.’s technology products and services. You must provide accurate registration and account information and keep it reasonably current.

Business accounts may invite employees or other authorized users. The business organization remains responsible for activity under its account, for keeping authorized-user assignments current, and for promptly removing access when a person should no longer have it. Do not access another person’s or organization’s account without authorization.

We may decline registration, limit features, or require additional verification where we reasonably believe there is fraud, security risk, or misuse.

3. Account Security

You are responsible for safeguarding credentials used to access your account and for activity that occurs under your account, including activity by people you authorize. Do not share passwords or reuse credentials in a way that exposes the account. Notify us promptly at [email protected] if you suspect unauthorized access or credential compromise.

Authorized users on a business account must use only the access granted to them. Attempting to escalate privileges, access another user’s data, or use an employee or business account after authorization ends is prohibited.

4. Permitted Use

Subject to this Policy and applicable law, we grant you a limited, non-exclusive, non-transferable right to access and use the Site to browse the catalog, search products, manage accounts, submit quote or RFQ requests, use cart and wishlist features, complete checkout where available, and communicate with us about products and services.

Except as expressly allowed, you may not copy, mirror, redistribute, or commercially exploit Site content or Site functionality, including product listings, descriptions, images, specifications, or pricing displays.

5. Prohibited Activities

You may not use the Site in a way that is unlawful or that interferes with the Site, other users, or our operations. In particular, you agree not to:

  • Attempt unauthorized access to accounts, portals, systems, networks, or data, including credential stuffing, password spraying, or privilege escalation.
  • Probe, scan, or test the vulnerability of the Site or related systems except through our Security & Vulnerability Disclosure process at Security & Vulnerability Disclosure, or interfere with Site availability (including denial-of-service style activity).
  • Transmit malware, ransomware, spyware, viruses, or other harmful code.
  • Scrape, crawl, harvest, or bulk-extract catalog content, pricing, availability, specifications, images, or account data without our prior written permission, including through bots, spiders, or similar automated means used for competitive monitoring or data aggregation.
  • Use automation or scripts to abuse registrations, quotes or RFQs, carts, wishlist, checkout, coupons, promotions, referrals, or customer-specific pricing or discounts, including creating multiple accounts to evade limits or obtain unauthorized pricing.
  • Circumvent or disable authentication, access controls, or technical protections we implement on the Site.
  • Provide false identities, fake business details, stolen payment instruments, or knowingly inaccurate order or quote information.
  • Exploit obvious catalog or pricing errors in bad faith, or attempt to manipulate systems to obtain unauthorized discounts or terms.
  • Harass, threaten, or abuse our personnel or other users, or submit unlawful or defamatory content through available Site channels.
  • Infringe intellectual property or other rights of vCloud Choice Inc., manufacturers, vendors, or third parties.
  • Use the Site to facilitate transactions or activities that violate applicable U.S. export, sanctions, or trade-compliance laws.

6. Catalog, Pricing, and Availability

Product titles, descriptions, images, specifications, documents, ratings displays, pricing, and availability information on the Site may change and may be supplied in whole or in part by manufacturers, distributors, or other third parties. That information can contain errors or omissions. Confirm critical technical or commercial requirements with our team before relying on catalog content for a purchase decision.

Displayed prices may include list pricing, promotional pricing, or customer-specific pricing where applicable to your account. Catalog displays are not a binding offer to sell. 7. Intellectual Property

The Site, including its design, software, and original content, is owned by vCloud Choice Inc. or its licensors and is protected by intellectual property laws. Manufacturer and vendor names, logos, product images, and product materials remain the property of their respective owners.

You may not use our name, logos, or marks in a way that suggests sponsorship or endorsement without our written consent. 8. Information You Submit

When you submit information through the Site—such as account registration details, quote or RFQ requests, support or case communications, newsletter sign-ups, or other messages you send us—you represent that you have the right to provide that information and that it is accurate to the best of your knowledge.

We may use operational submissions as needed to respond, fulfill requests, operate accounts, and improve the Site, subject to our Privacy Notice. Do not submit content you do not have rights to share, and do not use Site communication channels to send spam or malicious material.

9. Third-Party Sites, Products, and Services

The Site may link to third-party websites or reference third-party products, manufacturers, distributors, or service providers. We do not control those third parties and are not responsible for their content, availability, or practices. Your use of third-party sites is at your own risk and may be subject to their terms.

Software and cloud products sold or fulfilled through us are often licensed by the vendor. Use of those products may be subject to vendor terms described in Third-Party Software & Cloud Offerings at Third-Party Software & Cloud Offerings.

10. Site Availability and Changes

We aim to keep the Site available and useful, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue features—including catalog tools, portals, quote workflows, or checkout—for maintenance, security, or business reasons.

11. Enforcement

If we reasonably believe this Policy has been violated, we may investigate and take appropriate action. That may include warning you, limiting or suspending Site features, suspending or terminating account access, canceling or declining orders or quotes connected to the misuse, and cooperating with law enforcement where required or appropriate.

These steps are in addition to rights available under law and under our Standard Terms of Sale. Good-faith security research should follow Security & Vulnerability Disclosure rather than unauthorized probing.

12. Changes to This Policy

We may update this Policy from time to time. When we do, we will revise the “Last updated” date on this page. Continued use of the Site after an update is posted means you accept the revised Policy. If you do not agree, stop using the Site and contact us about your account.
